Basic Function



The Commercial Counsel will be responsible for providing timely, accurate and professional legal support to the commercial organization in Europe and AFME within company guidelines, policies and procedures in order to ensure statutory and regulatory compliance.

The successful candidate will work independently but can also work in collaborative teams as part of a fast-paced organization. Additionally, the chosen candidate will have a demonstrated ability to work with clients at all levels and will be able to navigate a complex organization.


The Commercial Counsel will report to the Lead Counsel Commercial based in Rotterdam. ( This is a full time position located in Rotterdam )

Roles & Responsibilities



  • Advise on general commercial law issues, to enhance the Company’s competitive position and ensure that the Company is competing on a level playing field
  • Manage commercial risk and ensure increased flexibility for the company in commercial arrangements
  • Review, negotiate, draft and advise on commercial contracts, to support in the creation of improved terms for the Company compared to existing contracts
  • Draft policies, procedures and other complex legal documents
  • Develop and conduct training programs for employees, to transfer knowledge and ensure compliance
  • Manage external counsel, to assist in legal matters that cannot be handled in-house

Qualifications & Skills




  • European qualified lawyer with relevant post-qualification experience in a major law firm or multinational organization. Qualification from The Netherlands, Germany, France or the UK is preferred. 
  • Relevant experience with reviewing, drafting and negotiating commercial transactions, in particular sales and purchase agreements in Europe and AFME
  • Able to manage and prioritize multiple projects and changing deadlines in a fast-paced and demanding environment with quick response time
  • Able to communicate orally and in writing in an organized, effective and timely manner
  • Possessing strong work ethic and self-motivation as well as the ability to inspire integrity and trust across the business
  • Team player, delivering high quality work and reaching team objectives
  • Results oriented decision maker 
  • Business savvy with the ability to make strong and trustworthy decisions
  • Fluent in English and in at least one of the following languages: Dutch, French or German
