This is the role

 

 

The purpose of this job is to provide basic support to the Corporate and Finance Legal Team, with a focus on managing European subsidiaries. Responsibilities include managing subsidiaries, coordinating books and records and overseeing corporate formalities and liaising with other legal, tax, accounting and finance professionals on special corporate projects. 

Roles & Responsibilities

 

 

  • Manage subsidiary corporate governance requirements of certain group subsidiaries in full compliance with relevant laws and regulations, including the maintenance of accurate and complete corporate data.
  • Maintains corporate governance documentation and records for select domestic and foreign subsidiaries and affiliates of LYB including files and minute books and serves as custodian of Company’s corporate records.  Maintenance includes preparation of certificates, minutes, resolutions, name change, stock certificates and ledgers, powers of attorney and delegations of authority, entity formation and qualification, merger, liquidation and other filings.
  • Prepare, update and manage form powers of attorney, as well as coordination with local notaries, disclosures and government forms.
  • Drafts and reviews legal documents (prepare basic legal documents from templates as well as routine correspondence, with the proven ability to independently draft some factual descriptions and references to prior agreements and amendments with minimal attorney supervision).
  • Prepare and finalize secretary's, director, officer's, and incumbency certificates, and other corporate related documents associated with transactions as required or requested.
  • Correspond with group paralegals, group counsel, tax, treasury department personnel on routine reporting and maintenance of records.  
  • Provide corporate information, as appropriate, to internal and external clients.
  • Maintain entity database of required information (hCue software program).
  • Coordinate with outside service providers on local legal matters.

  • Understanding of corporate governance, legal terms and subsidiary management requirements.
  • Ability to work cross-functionally with legal, tax, accounting and treasury departments. 
  • Ability to function autonomously yet understands necessity of advising management of work progress and any unusual situations.  Supervisor will reside in the U.S.
  • Strong attention to detail with the ability to multi-task.
  • Professional standard of telephone, writing and proofreading skills. 
  • Self-motivated and able to meet deadlines under pressure.
  • Able to work as part of a team, as well as to work independently.

This is what you bring

 


Bachelor degree from accredited university

2-4 years’ experience supporting corporate secretarial function within a multi-national company or reputable law firm . 

Fluent in English and Dutch
