This is the role


Based in Rotterdam and reporting to the Director, Mergers and Acquisitions (M&A), the Associate Director, Mergers & Acquisitions will manage the company’s activities in corporate transactions. This will include development and execution of specific plans for acquisitions of target companies or divestitures of current operations, determining the best approach for contact of targets or prospective buyers, and pursuing targets through relationship building, working directly with business owners and/or senior executives. He/she work closely with the SP&T leaders as well as Business leaders and cross functional teams to identify target acquisition opportunities, drive the transaction, manage the deal team, and assist in conducting negotiations with third parties through to closing. The role will also involve reviewing and executing potential investment opportunities in Recycling and Circularity segment of the Company.

These are the roles & responsibilities


In this position you will work on the following:


  • Manage the execution of engagement letters, confidentiality agreements, offer memoranda, MOU’s/LOI’s, and definitive agreements.
  • Evaluate the merits and risks of strategic investments, acquisitions, divestitures and partnerships.
  • Lead negotiations as LYB’s representative accountable for delivery of the final transaction within the parameters established by executive management
  • Assist in developing recommendations to executives on business structures, business plans, and projected financial returns of projects.
  • Coordinate evaluation of the business portfolio, assessing existing business performance and new market development, including adjacent and new verticals and geographic expansions.
  • Partner with cross-functional teams through engagement, negotiation and close of transactions. Liaise with operational teams to help facilitate successful deal execution, including managing various functional work streams
  • Direct planning activities for integration of acquisitions and for separation of divestitures
  • Partner with cross-functional teams to develop and analyze synergies and costs to achieve through diligence, challenging as necessary
  • Lead diligence efforts including working with functional teams, external support consultants, bankers and interacting with counterparties on multiple transactions
  • Prepare executive level communications on M&A project pipeline, individual project summaries including transaction competitive landscape and critical transaction issues, alternative evaluations, strategic fit and business case.
  • Assist in developing best practices and continuous improvement of processes within the function.

This is what you bring


  • Bachelor of Science, Chemical Engineering preferred. MBA also preferred
  • 8-10 years of total experience with 5-7 years of relevant M&A experience (including investment banking, corporate development and / or private equity)
  • Preferably experience working on M&A transactions across various European countries
  • Understanding of the recycling and circularity landscape and players in Europe
  • Experience managing M&A deal processes through the deal execution lifecycle
  • Superior skills in financial and quantitative analysis, use of Excel and PowerPoint and keen attention to detail
  • Chemicals/broader process industries experience would be preferred
  • Excellent verbal, written, and presentation skills.
  • Excellent analytical, research, organizational, and project management skills
  • Demonstrated leadership and influencing skills
  • Fluency in English and another European language: Dutch, French or German
