Reporting to the Director, M&A and Ventures C&LCS, this role will stress test business cases, valuations and M&A proposals. This role will manage transactions and activities for the C&LCS business unit. They will work directly with C&LCS’ business team, with a focus on the origination, approach, and relationship building of prospective targets, development and execution of target company acquisitions, partnerships or divestitures of current operations, and assessment of financial and business merits of transactions. They will also work closely and collaborate with the Strategic Planning & Transactions leaders as well as Business leaders and cross functional teams to identify target acquisition opportunities, drive the transaction, manage the due diligence team, and assist in conducting negotiations with third parties through to closing. This role will assist in the planning of post-deal integration initiatives for JVs and acquisitions, ensuring seamless operational and financial synergy. The role is based in Houston.
 

A Day In The Life:

  • Developing a high-performing team of BD and M&A financial support specialists based in North America.
  • Coordinating elements of the Long Range Planning process including challenging key assumptions and building appropriate models and templates to underpin the financial forecasts. 
  • Driving the implementation of C&LCS's Long Range Planning through effective coordination and participation.
  • Execution and management of transactions (mergers, acquisitions, divestitures, and joint-ventures).
  • Manage the execution of engagement letters, confidentiality agreements, offer memoranda, MOU’s/LOI’s, and definitive agreements.
  • Evaluate the merits and risks of strategic investments, acquisitions, divestitures and partnerships, as well as develop accompanying financial and quantitative analyses.
  • Assist in negotiations as one of LYB’s representatives within the parameters established by executive management.
  • Assist in developing recommendations to executives on business structures, business plans, and projected financial returns of projects.
  • Coordinate evaluation of the business portfolio, assessing existing business performance and new market development, including adjacent and new verticals and geographic expansions.
  • Partner with cross-functional teams through engagement, negotiation and close of transactions. Liaise with operational teams to help facilitate successful deal execution, including managing various functional work streams.
  • Lead diligence efforts including working with functional teams, external support consultants, bankers and interacting with counterparties on multiple transactions.
  • Develop initial integration plans for acquisitions and for separation of divestitures.
  • Support post closing periodical reporting requirements and monitor acquisition performance and realization of growth targets. 
  • Represent C&LCS in post-deal activities with JV partners. Be accountable to manage cash call requests for JVs including analyzing underpinning returns profiles of future JV growth projects. 
  • Partner with cross-functional teams to develop and analyze synergies and costs to achieve through diligence, challenging as necessary.
  • Prepare executive level communications on M&A project pipeline, individual project summaries including transaction competitive landscape and critical transaction issues, alternative evaluations, strategic fit and business case.
  • Assist in developing best practices and continuous improvement of processes within the function.
     

Value You Bring:

  • Bachelor’s degree in Business Administration, Finance or engineering (chemical engineering preferred) with adequate financial experience. 
  • Typically 10 years of relevant experience in cross-functional, complex global environments with a focus on business development, finance and/or transactions.
  • Demonstrated experience in business development, investment banking, private equity, or finance/evaluation related role with a focus on transactions. 
  • Excellent analytical capabilities and extensive financial modelling skills and a mastery of valuation methodologies.
  • Chemicals/broader process industries experience would be preferred.
  • Excellent verbal, written, and presentation skills.
  • Excellent analytical, research, organizational, and project management skills.
  • Demonstrated leadership and influencing skills.
