Based in Houston, Texas and reporting to the VP, Mergers and Acquisitions (M&A), the M&A team is seeking a Mergers & Acquisitions Manager to support the company's activities in corporate transactions. They will work directly with LyondellBasell’s M&A team in all facets of corporate and M&A strategy, with a focus on the origination of prospective targets and development / execution of acquisitions, divestitures, and joint ventures.  This cross-functional, highly visible role will be responsible for providing guidance through the lifecycle of the M&A process including identifying prospective targets, assessment of financial and business merits of transactions, overseeing and managing the transaction process, diligence and implementation management, assisting in negotiations with counterparties, and all other execution / support activities. The successful individual will also develop creative and insightful content that LyondellBasell’s leadership and management team will rely on when deciding on and conducting strategic transactions impacting the direction of the Company.

Day in the Life

  • Execution and management of transactions (mergers, acquisitions, divestitures, and joint-ventures).
  • Manage the execution of engagement letters, confidentiality agreements, offer memoranda, MOU’s/LOI’s, and definitive agreements.
  • Lead diligence efforts including working with functional teams, external support consultants, bankers and interacting with counterparties on multiple transactions.
  • Evaluate the merits and risks of strategic investments, acquisitions, divestitures and partnerships, as well as develop accompanying financial and quantitative analyses.
  • Lead and manage all the financial modelling, valuation, and returns analyses for various strategic M&A and investment transactions contemplated.
  • Assist in negotiations as LYB’s representative accountable for delivery of the final transaction within the parameters established by executive management.
  • Assist in developing recommendations to executives highlighting transaction highlights, critical issues, strategic fit, business case / transaction merit, and projected financial returns of projects.
  • Assist in developing best practices and continuous improvement of processes within the function.

You Bring This Value

  • Bachelor's degree required.  Bachelor of Science, Chemical Engineering preferred.  

  • MBA also preferred.

  • Minimum of six (6) years of total experience. 

  • Preferred - two (2) years or more of relevant M&A experience (including corporate development, private equity, and/or investment banking).

  • Superior skills in financial modeling and quantitative analysis, use of Excel and PowerPoint and keen attention to detail.

  • Knowledge of financial statements and valuation methodologies, merger modeling, accretion/dilution analysis, merger accounting, depreciation, tax, write-ups.
  • Demonstrated experience building financial models.
  • Excellent verbal, written, and presentation skills.
  • Excellent analytical, research, organizational, and project management skills.
  • Experience managing M&A deal processes through the deal execution lifecycle.
  • Has exceptional problem-solving skills and sound judgment.
  • Chemicals/broader process industries experience preferred.
